Terms of Service

These Terms of Service ("Terms") govern your use of the CertifyClouds software and services ("Service") provided by CertifyClouds ("we", "us", or "our").

By using CertifyClouds, you agree to these Terms. If you do not agree, do not use the Service.

1. License Grant

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable license to:

  • Install and use CertifyClouds within your own Azure environment
  • Use the Service for the number of subscriptions permitted by your license tier
  • Access features included in your license tier (STARTER or PRO)

This license is for your internal business purposes only. You may not sublicense, resell, or distribute the Service.

2. License Tiers

STARTER

  • Discovery scanning and Compliance features
  • Maximum 4 Azure subscriptions
  • Email and webhook alerts
  • Single user

PRO

  • All features including automated rotation
  • Unlimited Azure subscriptions
  • Multi-user support
  • Priority support

3. Your Responsibilities

You agree to:

  • Maintain the confidentiality of your license key
  • Use the Service only for lawful purposes
  • Ensure you have necessary Azure permissions
  • Keep your deployment updated with security patches
  • Not attempt to circumvent license restrictions

4. Data and Privacy

Your Data Stays With You

CertifyClouds runs entirely within your Azure environment. We do NOT:

  • Access your Key Vault secret values
  • Store your Azure credentials
  • Collect your secret metadata on our servers
  • Have access to your scanned data

What We Collect

The only data transmitted to our servers:

  • License validation: Your license key is validated against license.certifyclouds.com
  • Update checks: Version information to check for updates (optional)

5. Intellectual Property

CertifyClouds, including its code, documentation, and branding, is our intellectual property. This license does not transfer ownership.

You may not:

  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter any proprietary notices
  • Use our trademarks without permission

6. Support

Support is provided based on your license tier:

  • STARTER: Email support (business hours)
  • PRO: Priority email support

7. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement
  • Accuracy or reliability of results

You are responsible for:

  • Validating the Service meets your requirements
  • Backup and disaster recovery
  • Compliance with your organization's policies

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the fees you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of data, profits, or business interruption

This limitation applies even if we were advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Azure environment configuration

10. Term and Termination

Term

These Terms are effective until terminated.

Termination by You

You may stop using the Service at any time.

Termination by Us

We may terminate or suspend your license if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Use the Service for illegal purposes

Effect of Termination

Upon termination:

  • Your license to use the Service ends
  • You must uninstall the software
  • Sections 5-11 survive termination

11. General Provisions

Governing Law

These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles.

Entire Agreement

These Terms constitute the entire agreement regarding the Service and supersede prior agreements.

Amendments

We may update these Terms by posting new terms on our website. Continued use constitutes acceptance.

Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

No Waiver

Failure to enforce any right does not waive that right.

Assignment

You may not assign these Terms without our consent. We may assign our rights freely.
